Terms of Service

1. Acceptance of terms

By accessing or using the Revenue Cone platform (the “Service”), operated by NextCone Technologies Limited (“NextCone”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, you may not use the Service.

2. The service

Revenue Cone is a cloud-based revenue coordination platform for organisations that collect revenue, including local government authorities, state revenue services, market authorities, and utility agencies. The platform provides payer registration, demand notice generation, payment collection, reconciliation, analytics, and related tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Accounts and access

Access to the Service is granted to authorised staff of subscribing organisations. Each user account is personal and non-transferable. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at hello@revcone.com if you become aware of any unauthorised access to your account.

We may suspend or terminate access to any account that we reasonably believe has been used in breach of these Terms.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable Nigerian law
• Access, tamper with, or use non-public areas of the Service or our infrastructure
• Attempt to probe, scan, or test the vulnerability of any system or network
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service except as permitted by an authorised API integration
• Upload or transmit viruses or any other malicious code
• Harvest or collect personal data from the Service other than as required for your legitimate revenue administration purposes
• Impersonate any person or organisation, or misrepresent your affiliation

5. Fees and payment

Fees for the Service are agreed on a per-organisation basis and set out in a separate order form or contract. All fees are quoted and payable in Nigerian Naira (NGN) unless otherwise agreed in writing.

Failure to pay amounts due may result in suspension of access. Where an account is suspended for non-payment, we will provide reasonable notice before any data deletion.

6. Data and privacy

Our collection and use of personal data is described in our Privacy Policy. Where NextCone processes personal data on behalf of your organisation as a data processor, a Data Processing Agreement (“DPA”) applies. Contact us at privacy@revcone.com to request a copy.

You retain ownership of all data your organisation submits to the Service (“Customer Data”). You grant NextCone a limited licence to use Customer Data solely to provide the Service. We will not use Customer Data for any other purpose without your consent.

Upon termination, we will retain Customer Data for up to 90 days during which you may request an export. Thereafter, data is deleted in accordance with our retention policy, subject to any legal retention obligations.

7. Intellectual property

The Service, including all software, designs, logos, and documentation, is owned by NextCone Technologies Limited and protected by Nigerian and international intellectual property law. Nothing in these Terms grants you any rights in the Service other than as necessary to use it as permitted here.

You retain all rights to Customer Data and any content your organisation creates using the Service.

8. Service availability

We aim to provide a reliable, available service and publish real-time system status at revcone.com/status. Specific uptime commitments, maintenance windows, and support response times are set out in your order form or SLA addendum where applicable.

We are not responsible for unavailability caused by circumstances outside our reasonable control, including internet outages, third-party service failures (payment gateways, SMS providers), or force majeure events.

9. Limitation of liability

To the maximum extent permitted by applicable law, NextCone shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to NextCone in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Termination

Either party may terminate access to the Service by providing written notice as specified in the applicable order form or contract. We may suspend or terminate access immediately if we have reasonable grounds to believe you have materially breached these Terms.

Upon termination, your right to access the Service ceases. Sections relating to intellectual property, data, liability, and governing law shall survive termination.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide notice via email or within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
